The Promotion begins at 12:00:00 p.m. Eastern Time (“ET”) on Monday, July 8th, 2024 and ends at 11:59:59 a.m. ET on Sunday, September 15th, 2024 (the “Sweepstakes Period”).

Following the official @teremana Instagram page prior to Sweepstakes Entry will serve as an age-gate to ensure you are 21 years of age or older. If you are NOT 21 years of age or older you will not be permitted to follow the official @teremana Instagram page, and therefore not be able to comment for entry into the Sweepstakes.

To enter, during the Sweepstakes Period, to enter, visit @teremana’s profile page on Instagram, then (i) find the post about this Sweepstakes and, in the comments, tag a friend who is 21 years of age or older who you would bring to the game referenced in the prize description below, should you be selected as a potential winner (“Entry”).

By submitting an Entry, you agree that your Entry conforms to these Official Rules and that Sponsor, in its sole discretion, may declare your Entry void and disqualify you from the Sweepstakes if it believes that your Entry fails to conform, for any reason, to these Official Rules or that it deems inappropriate in Sponsor’s sole discretion.

There will be four (4) prizes available to be awarded in connection with this Sweepstakes. All Entries must be received no later than 11:59:59 a.m. ET on September 15th, 2024. No alterations or forged Entries are permitted. Limit of one (1) Entry per person/Instagram account per day during the Sweepstakes Period. Multiple entrants are not permitted to share the same Instagram account to submit an Entry. Any attempt by any entrant to obtain more than the stated number of permitted Entries by using multiple/different accounts, identities, or any other methods will void that entrant’s Entries, and that entrant may be disqualified in Sponsor’s sole discretion. A “day” is defined as 12:00:00 p.m. until 11:59:59 a.m. ET. In addition, tagging more than one (1) friend in a comment will not gain you additional entries and will not increase your chance to win. Violation of the preceding entry restrictions will result in disqualification. A given person may only use one (1) account on Instagram to participate in the Sweepstakes. All entries become the property of the Sponsor and will not be returned.

Proof of submission of an Entry does not constitute proof of receipt of Entry by Sponsor or its agents. Sponsor reserves the right to void all Entries made through any third-party website or service, or through any robotic, automatic, mechanical, programmed or similar entry duplication method, and to disqualify any individual using such a website/service or entry method. Released Parties (defined below) are not responsible for technical difficulties or Internet service disruptions or other equipment or service issues which might affect an online user’s ability to enter and qualify or the ability of Sponsor to notify the winners. Facsimiles or mechanical reproductions will not be accepted and entrants may not use any other device or artifice to enter in excess of the number of entries allowed. Entries generated by a script, macro, or other mechanical or automated means will be disqualified.

Released Parties are not responsible for technical difficulties, telephone or cell phone service disruptions or other equipment or service issues that might affect the ability of a platform (on mobile or website) visitor to enter or the ability of the Sponsor to notify the winners. Released Parties assume no responsibility for lost, late, damaged, delayed, stolen, inaccurate, inaccessible, misdirected, illegible, incomplete, garbled, or incorrect Entries or other Sweepstakes materials, all of which are void. Facsimiles or mechanical reproductions will not be accepted. No alterations or forged Entries are permitted. Released Parties are not responsible for stolen, late, incomplete, illegible, inaccurate, misdirected, lost, misrouted, scrambled, damaged, delayed, undelivered, mutilated, postage-due, or garbled entries, transmissions, email, or mail; lost, interrupted, or unavailable network, cable, satellite, server, Internet Service Provider (ISP), wireless network, website, or other connections; availability, accessibility, miscommunications, or failures of computer, satellite, telephone, cable, or wireless transmissions or lines; computer hardware or software malfunctions, failures, or difficulties; wireless service congestion; failures or malfunctions of phones, phone lines, telephone systems, wireless towers, or cellular tower equipment; any error, omission, interruption, defect, or delay in wireless or other transmission, processing, or communication; printing, typographical, or other errors appearing within these Official Rules, in any Sweepstakes-related advertisements, or other materials; cancellation or postponement of any Major League Baseball game/event/exhibition; or any other errors, problems, or difficulties of any kind, whether human, mechanical, electronic, or other, relating to the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with administration of the Sweepstakes, processing of entries, announcement of any winner, or any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by website users (e.g., hacking) or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to entrant’s or to any other person's computer and/or wireless device related to or resulting from participating in this Sweepstakes or downloading materials from or use of the Sweepstakes website. Persons who tamper with or abuse any aspect of the Sweepstakes or website; attempt to undermine the legitimate operation of the Sweepstakes by cheating, deception, or other unfair playing practices; intend to annoy, abuse, threaten, or harass any other entrant or any representative of Sponsor, Rangers and/or any other MLB Entity; or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Sponsor shall have the sole right to disqualify any entrant for violation of these Official Rules or any applicable laws relating to the Sweepstakes and to resolve all disputes in its sole discretion. Released Parties (a) make no warranty, guaranty, or representation of any kind concerning any prize (or any portion thereof) and (b) disclaim any implied warranty. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Selections of Winners; Random Selection. There will be a total of four (4) prize winners selected by random drawing on or about September 15tht, 2024 among all eligible Entries received during the Sweepstakes Period. The random drawing will be conducted by the Sponsor, also acting as the Administrator, whose decisions, will be final and binding in all matters relating to this Sweepstakes. Odds of winning a prize will be determined by the total number of eligible Entries received. The awarding of the prizes are subject to verification of each potential winner’s eligibility and compliance with the terms of these Official Rules. The potential winners will be notified by direct message via Instagram on/or around the day following the random drawing and will be required to furnish valid proof of age in a form prescribed by Sponsor (for example, a copy of a valid driver’s license, birth certificate or passport) within three (3) days of notification. If any prize notification is returned as undeliverable, or if a potential winner fails to return the prize claim documents within the stated time period (if required), or if a potential prize winner cannot or otherwise fails to accept the prize as stated, or if Sponsor, in its sole discretion, deems a potential winner ineligible to receive the prize for any reason, including for non- compliance with these Official Rules, a disqualification will result, and the corresponding prize will be forfeited in its entirety and awarded (time permitting) to an alternate winner in a random drawing from among the remaining eligible Entries received. Each potential winner may be required to submit their valid social security number and/or other identification to Sponsor and may receive an IRS Form 1099 for any prize valued at $600 or greater. Each potential winner may be required to execute, have notarized, and return an Affidavit of Eligibility and Release of Liability and, unless prohibited by law, a Release of Publicity, within five (5) days of the date of issuance. If required in the Eligible Territory, the potential winner will be required to answer correctly, without assistance of any kind (mechanical or otherwise), a time limited mathematical skill testing question which will be administered by Sponsor by telephone at a mutually agreeable time. Failure to submit any identification required by Sponsor or to return any required documents within the specified time period, noncompliance with these Official Rules, the return of prize notification or of the prize (or any portion thereof) as non-deliverable, or, if applicable, failure to answer correctly the skill testing question as determined by Sponsor in its sole discretion may result in the potential winner’s disqualification and prize forfeiture and, at Sponsor’s sole discretion and time permitting, may cause an alternate potential winner to be randomly selected from among all remaining eligible Entries.

Prizes: Four (4) grand prizes will be available to be awarded. The grand prize winners will each win two (2) tickets to a Texas Rangers regular season home game at the Stadium and a VIP experience (the date of such game, and the time, duration and nature of such VIP experience shall be determined by the Rangers in its sole discretion and subject to availability). Each winner’s guest must be 21 years of age or older. TRAVEL, TRANSPORTATION AND LODGING ARE NOT INCLUDED AS PART OF THE PRIZE IN ANY MANNER WHATSOEVER. All federal, state and local taxes as well as any costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winners. By accepting a prize, winners waive the right to assert as a cost of winning said prize, any and all costs of redemption or travel to redeem said prize and any and all liability that might arise from redeeming or seeking to redeem said prize. Except as otherwise set forth herein, all prize details shall be determined in the sole and absolute discretion of Sponsor. Each winner is fully responsible for any and all applicable taxes (including income and withholding taxes). All costs and expenses associated with prize acceptance and use which are not specifically included in the prize description above, including but not limited to transportation, lodging, meals, gratuities, insurance, and other expenses, are the sole responsibility of the winner. The prize is non-transferable and non-assignable, with no cash redemptions except at Sponsor’s sole and absolute discretion. Sponsor reserves the right to substitute any prize (or any portion thereof) with a prize of comparable or greater value at its sole and absolute discretion. Use of any Major League Baseball game/event/exhibition ticket is subject to the standard terms, conditions, and health and safety policies applicable to the ticket; see rangers.com/ticketback for details. Seat locations at the game/event/exhibition and, unless otherwise stated in the prize description, exact game/event/exhibition date shall be determined in the sole discretion of the Rangers. Each winner’s guest(s) must be of legal age of majority in their jurisdiction(s) of residence unless accompanied by a parent or legal guardian. Major League Baseball game/event/exhibition dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and/or the Rangers and may be subject to change. The terms and conditions of the tickets awarded as part of any prize will govern in the event a legal game/event/exhibition, as defined by Major League Baseball, is not played or held due to weather conditions, an act of God, an act of terrorism, civil disturbance, or any other reason. Each winner and their guest(s) agree to comply with all applicable ballpark and venue regulations in connection with the prize; see rangers.com/ballpark for details. Sponsor, the Rangers and the other MLB Entities reserve the right to remove or to deny entry to any winner and/or their guest(s) who engage in a non-sportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person at the game/event/exhibition. Released Parties will not be responsible for weather conditions; acts of God; acts of terrorism; civil disturbances; local, state, or federal regulation, order, or policy; work stoppage; epidemic, pandemic, or any other issue concerning public health or safety; or any other event outside of their control that may cause the cancellation or postponement of any Major League Baseball game/event/exhibition. Major League Baseball game/event/exhibition tickets awarded as prizes may not be resold, offered for resale, or used for any commercial or promotional purpose whatsoever. Any such resale or commercial or promotional use may result in disqualification and prize forfeiture, and may invalidate the license granted by the game/event/exhibition ticket. Participation in the prize event is subject to winner’s (and guest’s) consent to and compliance with all health and safety policies of the MLB Entities. As a condition of participation in the “VIP experience” portion of the prize, each winner and their guest must sign a waiver and release of liability provided by the Rangers.

Tickets are subject to terms and conditions set forth thereon. Actual tickets to be awarded are subject to availability and seat locations will be determined by the Rangers. In the event the game provided as part of a prize is cancelled or postponed, the terms of the ticket shall govern, including any raincheck policies. Winners and guests agree to abide by all applicable venue rules and regulations, including that the ticketholders are eligible to attend the event for which tickets have been issued. Tickets will be awarded electronically via the MLB Ballpark app. The approximate retail value (“ARV”) of each grand prize is $1,500. Prizes offered and awarded are not redeemable for cash. Prize details not specified herein shall be determined solely by Sponsor. Prizes are awarded “as is” with no warranty or guarantee, either express or implied. No alcohol is awarded in any prize.

ARV of all prizes: $6,000. Actual value may vary based on tickets awarded. Released Parties are not responsible for and winners will not receive any difference between the actual value and ARV of a prize.

In the event that an insufficient number of eligible Entries are received to award all prizes, Sponsor is not obligated to award all prizes and no additional random drawings will take place. Prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the prize for one of equal or greater value if it should become unavailable for any reason. Limit one (1) prize per person/Instagram account. Except as otherwise expressly set forth herein, all prize details are at Sponsor’s sole discretion.

Sweepstakes Entries: Entries must adhere to the entry guidelines indicated herein, as determined by Sponsor/Administrator in their sole discretion. By entering the Sweepstakes, entrants represent and warrant that, their Entry (comment and tag) does not infringe upon the rights of any other party, including but not limited to any intellectual property, trade secret or other proprietary rights of any other party. By submitting an Entry, each entrant further represents and warrants, that any person(s) tagged or referenced in his/her Entry has given his or her express written consent to the tag and use as contemplated by these Official Rules and that entrant has obtained written permission for such use from any such person. Submission of an Entry grants Sponsor the right to use, publish, adapt, edit and/or modify an Entry in any way, in whole or in part, and to use such Entry, and any ideas or concepts contained therein, in commerce and in any and all media now known or hereafter discovered, worldwide, including but not limited to Sponsor’s website, without limitation or compensation to the entrant and without right of notice, review or approval of any such use of the Entry. Without limiting the foregoing, such use of Sweepstakes Entry includes Sponsor posting Sweepstakes Entry on the Teremana Tequila (@teremana) Instagram page and/or possibly posting the Entry in a “gallery” on the Teremana Tequila (Teremana.com) website or perhaps elsewhere (and, in all cases, such posting shall not constitute any representation of Sweepstakes eligibility or selection of entrant as a potential prize winner in the Sweepstakes. Submission of an Entry further constitutes the entrant's consent to irrevocably assign and transfer to the Sponsor any and all rights, title and interest in and to the Entry, including but not limited to all intellectual property rights and proprietary rights worldwide the preceding is subject only to those rights reserved by Instagram as the operator of a social media platform). Any content, material or information included in the Entry shall not be confidential, proprietary or contain any trade secret. By submitting an Entry, entrant consents to Sponsor’s use, reproduction and disclosure of the Entry and ideas, concepts or other materials contained therein, for any purpose, including any commercial purpose. Any Entry that contains third party artistic works, copyrights, trademarks, trade names, logos or similar brand identifying marks, trade secrets or other proprietary rights will not constitute a valid Entry.

Comments containing any lewd or sexually suggestive gesture as determined by Sponsor in its sole discretion will be disqualified. No comment shall (a) depict or reference persons consuming alcoholic beverages excessively or in an irresponsible manner, (b) depict or reference persons conducting themselves in an inappropriate manner, (c) contain material that would imply that the consumption of alcoholic beverages is acceptable before or while operating machinery, driving a vehicle or undertaking any other activity that requires a high degree of alertness or physical coordination, (d) contain any material that would degrade or demean the human form, image or status of women, men or the members of any group based on race, religion, ethnic background, sexual orientation or any other minority status, (e) include a reference to any person that appears to be under 21 years of age or appeal to anyone under the legal drinking age, (f) include any commercial solicitation or promotional materials, websites, contact information or personally-identifiable information (e.g., first or last name, address, phone number, place of work, email address, etc.), (g) make reference to any commercial/corporate advertising, including but not limited to corporate logos, brand names (other than those owned or licensed by Sponsor) or slogans, (h) make political or religious statements, (i) contain statements or images relating to public officials, the armed forces of the United States, local, state or federal governments or flags, emblems, seals, coat of arms, crests or insignias, or (j) refer to or depict any recognizable features of any retailer of alcohol beverages (including but not limited to bars, restaurants, convenience stores, grocery stores, etc.). Obscene, provocative, lewd or otherwise objectionable content or content that reflects poorly on the Teremana Tequila brand or the Sponsor will not be considered and the determination of the appropriateness of any comment including any accompanying text submitted is at the sole discretion of the Sponsor.

Eligibility: The Sweepstakes is open only to legal United States residents who reside in Texas within a 50-mile radius of the Stadium who are at least 21 years old at the time of entry. Void outside Texas and where prohibited or restricted by law. The following individuals are not eligible to win the Sweepstakes: (a) employees, officers and directors of (i) Sponsor, Rangers Baseball LLC (the “Rangers”), the other MLB Entities (defined below),, (ii) vendors of Sponsor, (iii) licensed alcoholic beverage distributors and retailers, (iv) Administrator and, in each case of the foregoing clauses (i) through (iv), any of its or their respective parents, affiliates, subsidiaries, licensees, distributors, dealers, retailers, printers, promotion agencies, advertising agencies or any other company or individual involved with the design, production, execution or distribution of the Sweepstakes and (b) the immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) and household members (people who share the same residence at least three (3) months out of the year) of each such individual. “MLB Entities” means the Office of the Commissioner of Baseball (“BOC”), its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P. (“MLB”), Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs (including the Rangers, the “Clubs”), each of their parent, subsidiary, affiliated, and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees, and agents of the foregoing entities. Participation constitutes each entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein. The Sweepstakes is subject to all applicable laws, rules, and regulations. Void outside the Eligible Territory and where prohibited or restricted by law, rule, or regulation.

Publicity: Except where prohibited, participation in the Sweepstakes constitutes each winner’s consent for Sponsor, Rangers, the Stadium, MLB, any other MLB Entity and all of their respective parent, subsidiary and affiliated companies and their designees to use or publicize his/her name, likeness, photograph (including profile photo), voice, statements, opinions, biographical information, prize information, hometown and state for advertising and promotional purposes and any other purpose, in any manner, in any and all media or format, now known or hereafter devised, worldwide in perpetuity, without limitation and without further payment, compensation, consideration, notification or permission, unless prohibited by law. By entering the Sweepstakes, each entrant gives their express permission to be contacted by Sponsor, the Rangers and/or any other MLB Entity for Sweepstakes purposes.

General Conditions: Sponsor reserves the right to conduct a background check of any criminal records of each prize winner. To the extent necessary and permitted by law, each prize winner shall authorize this background check. Sponsor reserves the right, at its sole discretion, to disqualify any prize winner based on the results of the background check.

By entering the Sweepstakes, each entrant agrees to (a) be bound by these Official Rules, including all entry requirements, and (b) indemnify, defend, hold harmless and waive any and all claims, actions or proceedings of any kind against Sponsor, Administrator, the Rangers, MLB, the other MLB Entities, Facebook, Inc., Apple, Inc., Meta Platforms (dba Instagram) and each of their respective parents, affiliated companies, subsidiaries, officers, directors, employees, agents, licensees, distributors, dealers, retailers, printers, representatives, advertising and promotion agencies, any Sweepstakes prize provider or commercial sponsor, and any other company associated with the Sweepstakes, and all of their respective officers, directors, employees, agents, and representatives (collectively, “Released Parties”) for any injury, damage, liability, suit, cause of action, judgment, cost and expense (including attorneys’ fees and court costs) or loss that may occur, directly or indirectly, in whole or in part, from participation in the Sweepstakes, breach or alleged breach of any warranty and representation set forth above, receipt or use of any prize (or any portion thereof), or any travel or activity related thereto.

In exchange for the right to participate in the Sweepstakes, each entrant for himself or herself and his or her heirs, personal representatives, successors and assigns shall voluntarily and knowingly completely and forever release, waive and discharge all of the Released Parties from and against any and every kind of claim, loss, suit, damage, demand, injury, costs, attorney fees, right, liability or cause of action or other liabilities of whatever kind or nature, known or unknown, absolute or contingent, and whether or not fixed, which the prize winner ever had, now has or might in the future have arising in any way or related to the Sweepstakes, including, but not limited to: prize winner’s participation in the Sweepstakes; prize winner’s Entry; use of prize winner’s name, likeness, biographical information, signature, image or likeness; prize winner’s receipt, use or inability to use any prize or part thereof, including but not limited to injury or loss sustained in any travel related to the prize(s); financial claims; physical and/or emotional injury; and/or any other legal claim that may arise, whether under contract, tort, warranty or any other theory or claim.

Sponsor, the Rangers and any other MLB Entity shall have the right, in their sole discretion, to abbreviate, modify, suspend, extend, cancel or terminate the Sweepstakes (or any portion thereof) at any time for any or no reason, including, without limitation, in the event Sponsor is prevented from executing the Sweepstakes as contemplated herein by any event beyond Sponsor’s control, including but not limited to: fire; flood; earthquake; explosion; public health epidemic or crisis; labor dispute or strike; act of God or public enemy; network or equipment failure; riot or civil disturbance; terrorist threat or activity; war (declared or undeclared); court order; or federal, state, or local government law, order, or regulation. Sponsor, the Rangers and any other MLB Entity also reserve the right, in their sole discretion, to abbreviate, modify, suspend, extend, cancel or terminate the Sweepstakes (or any portion thereof) should virus, bugs, unauthorized human intervention, or other causes or events corrupt administration, security, fairness, integrity, or proper operation of the Sweepstakes. In such event, Sponsor reserves the right to award the prizes at random from among all non-suspect, eligible entries received up to the time of the impairment or as otherwise deemed fair and appropriate by Sponsor. Sponsor also reserves the right, in its sole discretion, to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Sweepstakes.

Electronic Entries: In the event of a dispute, on-line entries (including entries made via mobile device*) will be deemed made by the authorized account holder of the e-mail address at time of entry which is associated with the Instagram account used to post the comment and they must comply with these Official Rules. The authorized account holder is the natural person who is assigned to the e-mail address by an internet access provider, on-line service, or other organization that is responsible for assigning e-mail addresses. Winner will be required to prove, to Sponsor's satisfaction, that he/she is the owner of the Instagram account used to post the winning comment. Released Parties are not responsible for lost, late, damaged, illegible, misdirected, incomplete entries, or for on-line entries not received due to lost, failed, delayed or interrupted connections or miscommunications, or to other electronic malfunctions, delays, or errors of any kind in the transmission or receipt of on-line entries (the preceding includes but is not limited to filtering or other operation of the functionality of a social media platform). Released Parties are not responsible for other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitations, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of Entries, the announcement of the prizes, or in any Sweepstakes-related materials. Released Parties are not responsible for incorrect or inaccurate entry information, whether caused by website visitors or by any human or technological error that may occur in the processing of on-line entries in the Sweepstakes. Sponsor reserves the right, in its sole discretion, to cancel or suspend all or a portion of the Sweepstakes should viruses, bugs or other causes beyond control of the Sponsor corrupt the administration, security or proper operation of the Sweepstakes.
